Clerk 2K License Agreement

License Grant
Licensor (CP) grants Licensee (you) a license to Use one copy of the Software (Clerk 2K executable, associated data files and manual). "Use" means storing, loading, installing, executing or displaying the Software. You may not modify the Software or disable any licensing or control features of the Software. This Software is not licensed for "concurrent use", you may not allow more than one authorized user to Use the Software concurrently. You agree to only use Software for the show(s) and date(s) for which it is licensed that are produced by you. You must include in every show catalog which Software was used to create, either in whole or in part, a legible statement, in a prominent place, that reads "This catalog produced using Clerk 2K - a windows based entry clerk program. For more information contact: Clinton Parker, 2409 Portstewart Lane, Charlotte, NC 28270" or an updated version of this statement to reflect changes in either product name or contact address. In addition you agree to provide CP with a copy of the data file(s) used by Software to create said catalog within two weeks of its creation. CP's remedy for failure to place such notice or failure by you to provide CP with the data file(s) used by Software to create said catalog shall not be less than $100.00. (NOTE: Software provides features that will assist you in performing both of these functions.)

Ownership
The Software is owned and copyrighted by CP. Your license confers no title or ownership in the Software and is not a sale of any rights in the Software.

Copies and Adaptations
You may only make copies or adaptations of the Software for archival purposes or when copying or adaptation is an essential step in the authorized Use of the Software. You must reproduce all copyright notices in the original Software on all copies or adaptations. You may not copy the Software onto any bulletin board or similar system.

Transfer
Your license will automatically terminate upon any transfer of the Software. Upon transfer, you must deliver the Software, including any copies and related documentation, to the transferee. The transferee must accept these License terms as a condition to the transfer and pay CP a $50.00 transfer fee.

Termination
CP may terminate your license upon notice for failure to comply with any of these License Terms. Upon termination, you must immediately destroy the Software, together with all copies, adaptations and merged portions in any form.

Software Limited Warranty

Software is provided "AS IS" without warranty of any kind, either expressed or implied, including, but not limited to the implied warranties of merchantability and fitness for a particular purpose. You agree to assume the entire risk as to the use and performance of the Software. Demo version of Software is available upon request.
CP warrants to you that the media on which the Software is provided is free of any defects in material and workmanship for the period of 90 days from date of purchase. If CP receives notice of such defects during the warranty period, CP will replace any media due to such defects.
ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE IS LIMITED TO THE DURATION OF THE EXPRESS WARRANTY SET FORTH ABOVE. Some states or provinces do not allow limitations on the duration of an implied warranty, so the above limitation or exclusion might not apply to you. This warranty gives you specific legal rights and you might also have other rights that vary from state to state, or province to province.
THE REMEDIES IN THIS WARRANTY STATEMENT ARE YOUR SOLE AND EXCLUSIVE REMEDIES. EXCEPT AS INDICATED ABOVE, IN NO EVENT WILL CP BE LIABLE FOR LOSS OF DATA OR FOR DIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL (INCLUDING LOST PROFIT), OR OTHER DAMAGE, WHETHER BASED IN CONTRACT, TORT, OR OTHERWISE. Some states or provinces do not allow the exclusion or limitation of incidental or consequential damages, so the above limitation or exclusion may not apply to you.
